Terms of Service

1. Acceptance of Terms

By creating an account or using Invorcer, you agree to be bound by these Terms of Service ("Terms"). If you are using Invorcer on behalf of a business, you represent that you have the authority to bind that business to these Terms.


If you do not agree to these Terms, do not use Invorcer.

2. Description of Service

Invorcer is a cloud-based invoicing and compliance platform designed for Canadian vape wholesalers. The platform includes invoice creation, customer management, excise duty calculation, compliance reporting, payment tracking, and related features.


We reserve the right to modify, suspend, or discontinue any aspect of the service at any time with reasonable notice to users.

3. Your Account

You are responsible for maintaining the security of your account credentials. You must notify us immediately at security@invorcer.com if you suspect unauthorized access to your account.


You are responsible for all activity that occurs under your account, including actions taken by team members you invite.


You must provide accurate and complete information when creating your account and keep it up to date.

4. Subscription and Payment

Invorcer offers paid subscription plans. By subscribing, you agree to pay the applicable fees for your selected plan.


**Free trial:** New accounts receive a 7-day free trial with access to Core plan features. No credit card is required to start a trial. At the end of the trial period, you must subscribe to continue using the platform.


**Billing:** Subscriptions are billed monthly or annually in advance. All prices are in Canadian dollars (CAD).


**Cancellation:** You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. All purchases are eligible for a full refund within 30 days of payment, no questions asked.


**Price changes:** We will provide at least 30 days notice before changing subscription prices.

5. Your Data

You retain full ownership of all data you enter into Invorcer, including customer information, invoices, and business data ("Your Data").


You grant Invorcer a limited licence to store, process, and display Your Data solely for the purpose of providing the service to you.


We do not claim any ownership over Your Data and will not use it for any purpose other than operating the platform on your behalf.


You are responsible for ensuring that Your Data complies with applicable laws, including privacy legislation.

6. Acceptable Use

You agree not to use Invorcer to:


— Violate any applicable law or regulation, including Canadian excise and tax laws

— Infringe the intellectual property rights of others

— Transmit malicious code, viruses, or disruptive content

— Attempt to gain unauthorized access to the platform or other users' accounts

— Resell or sublicence access to the platform without written permission

— Use the platform for any purpose other than legitimate business invoicing and compliance


Violation of these terms may result in immediate account suspension or termination.

7. Compliance Disclaimer

Invorcer calculates excise duty based on publicly available federal and provincial rate schedules. While we make every effort to keep rates accurate and up to date, Invorcer does not constitute legal, accounting, or tax advice.


You are solely responsible for ensuring the accuracy of your compliance filings and remittances to the CRA and relevant provincial authorities. We strongly recommend consulting a licensed accountant or tax professional for your specific situation.

8. Intellectual Property

Invorcer and all associated software, designs, trademarks, and content are the intellectual property of Invorcer Technologies Inc. and are protected by Canadian and international copyright law.


These Terms do not grant you any rights to use our trademarks, logos, or brand assets without prior written permission.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Invorcer Technologies Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the platform.


Our total liability to you for any claim arising from these Terms or your use of the platform shall not exceed the total amount you paid us in the 12 months preceding the claim.


Some jurisdictions do not allow limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify and hold harmless Invorcer Technologies Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the platform, violation of these Terms, or infringement of any third-party rights.

11. Termination

Either party may terminate these Terms at any time.


You may terminate by cancelling your subscription and deleting your account.


We may terminate or suspend your account immediately if you violate these Terms, fail to pay applicable fees, or if we determine that your use poses a risk to the platform or other users.


Upon termination, you may export your data for 30 days. After that period, your data will be permanently deleted.

12. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law provisions.


Any disputes arising from these Terms shall be resolved in the courts of Ontario, Canada. You consent to the exclusive jurisdiction of those courts.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email at least 14 days before the changes take effect. Continued use of the platform after that date constitutes acceptance of the updated Terms.


If you do not agree to the updated Terms, you must stop using the platform and cancel your subscription before the effective date.
